A proposal for a contribution in kind, merger, division or equivalent operation is initiated by the management body. The final decision about the operation, however, rests with the general meeting of shareholders. With a view to the decision-making by the general meeting, the management body and the statutory auditor must draw up a report on the specific aspects covered by law (see FAQ 3).
