The FSMA publishes, in application of article 17 of the Royal Decree of 27 April 2007 on public takeover bids (the "Takeover-RD"), the notice that it has received on 18 December 2015, in accordance with article 17 of the Takeover-RD, whereby it has been notified that Billion Eastgate (Luxembourg) S.à.r.l., a company under the laws of Luxembourg, having its registered office at 6, rue Eugène Ruppert, L-2453 Luxembourg, registered with the Luxemburg Trade and Companies Register under number B 198525 (the "Bidder"), a wholly owned, indirect subsidiary of Fosun International Limited, has decided to withdraw its voluntary and conditional public takeover bid in cash (the "Bid") for the outstanding shares issued by BHF Kleinwort Benson Group SA, a limited liability company under Belgian law, having its registered office at Avenue Louise 326, 1050 Brussels, Belgium, with enterprise number 0866.015.010 RPR/RPM Brussels, the shares of which are listed on Euronext Brussels.
The Bidder has taken this decision to withdraw the Bid further to the mandatory counterbid in cash announced on 27 November 2015 (as amended on 2 December 2015) by Oddo et Cie, a company incorporated under the laws of France, with its registered office at 12 Boulevard de la Madeleine, 75009 Paris, France, registered with the Registre du Commerce et des Sociétés (Paris) under number 652.027.384.
